these Trade & Wholesale Terms and Conditions ("Terms") apply to all trade and wholesale purchases made from honey & me ("we", "us", "our") by approved trade customers ("you", "your", "retailer")

by placing an order with honey & me, you agree to be bound by these terms

1. trade account eligibility

1.1 trade accounts are available only to genuine businesses operating from retail premises, online stores, gift shops, salons, boutiques, interior design businesses, hospitality venues or similar commercial enterprises

1.2 we reserve the right to approve, decline, suspend or terminate any trade account at our sole discretion

1.3 trade pricing, catalogues and trade materials are confidential and must not be shared with third parties

2. minimum order requirements

2.1 opening order minimum: 50 units

2.2 reorder minimum: 30 units

2.3 we reserve the right to amend minimum order values at any time upon reasonable notice

3. pricing

3.1 all trade prices are exclusive of VAT unless stated otherwise

3.2 recommended retail prices (RRPs) are provided for guidance only; retailers remain free to determine their own resale prices

3.4 we reserve the right to amend wholesale pricing at any time; price changes will not affect orders already accepted

4. ordering

4.1 orders may be placed via our website, email or any approved trade ordering platform

4.2 all orders are subject to acceptance and product availability

4.3 an order shall only be deemed accepted when we issue an order confirmation or dispatch the goods

4.4 we reserve the right to refuse any order

5. payment terms

5.1 first orders must be paid in full upon order placement (and before dispatch)

5.2 approved account customers may be offered payment terms of 30 days from invoice date at our sole discretion

5.3 failure to pay by the due date may result in:

suspension of future orders
withdrawal of credit facilities
statutory interest, compensation and recovery costs available under the Late Payment of Commercial Debts (Interest) Act 1998 and applicable regulations
recovery of reasonable debt collection costs

6. delivery

6.1 delivery charges will be advised before order confirmation

6.2 estimated delivery times are provided in good faith but are not guaranteed

6.3 risk in the goods passes to the retailer upon delivery

6.4 visible shortages, transit damage or delivery discrepancies should be reported within 48 hours of receipt and supported by photographs. latent manufacturing faults should be reported as soon as reasonably practicable after discovery

6.5 honey & me shall not be liable for delays caused by events beyond our reasonable control

7. retention of title

7.1 ownership of the goods shall remain with honey & me until full payment has been received

7.2 until ownership passes, the retailer shall store the goods separately and clearly identify them as honey & me products

8. returns and damages

8.1 due to the nature of our products, we do not accept returns of unsold stock

8.2 visible shortages, transit damage or delivery discrepancies should be reported within 48 hours of receipt and supported by photographs. latent manufacturing faults should be reported as soon as reasonably practicable after discovery

8.3 where a genuine manufacturing fault is confirmed, we will provide an appropriate remedy, which may include replacement, account credit or refund, subject to applicable law

8.4 minor variations in colour, fragrance intensity, wax appearance or packaging presentation are not considered defects

9. product storage and display

9.1 retailers agree to store products in a clean, dry environment away from direct sunlight and excessive heat

9.2 products must be displayed and sold in their original packaging unless otherwise approved

9.3 retailers must not alter, relabel or repackage products without our written consent

10. product safety

10.1 retailers must follow all product safety instructions supplied by honey & me

10.2 retailers shall not remove or obscure any safety labels, warnings or compliance information

10.3 retailers shall promptly notify honey & me of any customer complaints relating to product safety

10.4 honey & me products are supplied in compliance with applicable UK regulations, and retailers must not make misleading claims regarding product performance, health benefits or safety

11. online sales

11.1 approved stockists may sell honey & me products through their own websites and physical retail premises

11.2 products may not be sold through Amazon, eBay, Etsy, TikTok Shop, Temu, Wish or similar third-party marketplaces without prior written consent

11.3 retailers must accurately represent honey & me products using approved descriptions and imagery

12. intellectual property

12.1 all intellectual property rights in honey & me trademarks, logos, product names, photography, descriptions, branding and approved marketing materials are owned by or licensed to HONEY & ME LTD

12.2 retailers are granted a non-exclusive, revocable licence to use approved marketing materials solely for the purpose of promoting honey & me products

12.3 retailers must cease use of all honey & me intellectual property immediately upon termination of their trade account

13. territory and stockist protection

13.1 honey & me may, at its discretion, consider reasonable geographic protection for selected stockists

13.2 no exclusivity arrangement shall exist unless confirmed in writing by honey & me

14. termination

14.1 either party may terminate the trading relationship at any time by written notice

14.2 honey & me may immediately terminate a trade account where a retailer:

breaches these terms
fails to pay invoices on time
damages the honey & me brand or reputation
becomes insolvent

14.3 termination shall not affect any outstanding payment obligations

15. limitation of liability

15.1 nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be excluded

15.2 honey & me shall not be liable for indirect, consequential or economic losses including loss of profits, goodwill or business opportunities

16. force majeure

honey & me shall not be liable for failure or delay in performing its obligations where such failure results from events beyond its reasonable control, including but not limited to natural disasters, supplier shortages, transport disruption, strikes, pandemics or government action

17. governing law

these terms shall be governed by and construed in accordance with the laws of England and Wales

any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales
